Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Fores Financial Intelligence ("Company," "we," "us," or "our") concerning your access to and use of our website and services.

Description of Services

Fores Financial Intelligence provides tax recovery services, bookkeeping, financial operations support, and related consulting services. Our services include, but are not limited to:

  • R&D Tax Credit recovery and consulting
  • Work Opportunity Tax Credit (WOTC) screening and recovery
  • Sales and Use Tax recovery
  • Property Tax appeal services
  • Bookkeeping and financial operations
  • Individual tax preparation

Eligibility

Our services are intended for businesses and individuals located in the United States. By using our services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

Client Responsibilities

As a client, you agree to:

  • Provide accurate, complete, and timely information necessary for us to perform our services
  • Respond promptly to our requests for information or documentation
  • Review and approve all filings and submissions before they are made on your behalf
  • Maintain appropriate records and documentation as required by law
  • Notify us promptly of any changes that may affect our services
  • Pay all fees as agreed upon in your service agreement

Fees and Payment

Tax Recovery Services

Our tax recovery services (R&D Tax Credit, WOTC, Sales Tax Recovery, Property Tax Appeals) are typically provided on a contingency basis. This means:

  • You pay a percentage of the tax credits or savings we recover for you
  • If we do not recover any credits or savings, you owe us nothing
  • Specific fee percentages will be outlined in your service agreement

Bookkeeping and Financial Operations

Our bookkeeping and financial operations services are provided on a monthly retainer basis. Fees are based on the scope of services and will be outlined in your service agreement.

Individual Tax Preparation

Individual tax preparation services are provided at fixed rates based on the complexity of your return. Fees will be communicated before services begin.

Confidentiality

We understand that you will share sensitive financial and business information with us. We commit to:

  • Maintaining the confidentiality of all information you provide
  • Using your information only for the purposes of providing our services
  • Implementing appropriate security measures to protect your information
  • Not disclosing your information to third parties except as necessary to provide our services or as required by law

Limitation of Liability

To the maximum extent permitted by law:

  • Our liability for any claim arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not responsible for any penalties, interest, or additional taxes resulting from information you provided that was inaccurate, incomplete, or untimely.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive to provide accurate and effective services:

  • We do not guarantee specific results or outcomes
  • Tax laws and regulations are subject to change and interpretation
  • Past results do not guarantee future performance
  • We are not responsible for decisions made by tax authorities or courts

Indemnification

You agree to indemnify, defend, and hold harmless Fores Financial Intelligence and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your breach of these Terms
  • Your provision of inaccurate or incomplete information
  • Your violation of any applicable law or regulation
  • Any third-party claims related to your use of our services

Termination

Either party may terminate the service relationship:

  • With 30 days written notice for ongoing services
  • Immediately if the other party materially breaches these Terms
  • Upon completion of the agreed-upon services

Upon termination, you remain responsible for any fees earned prior to termination, and we will return any documents or materials belonging to you.

Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Fores Financial Intelligence and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through:

  1. Good faith negotiation between the parties
  2. Mediation, if negotiation is unsuccessful
  3. Binding arbitration in accordance with the rules of the American Arbitration Association

The arbitration shall take place in the state of our principal place of business, and the decision of the arbitrator shall be final and binding.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state of our principal place of business, without regard to conflict of law principles.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements you enter into with us, constitute the entire agreement between you and Fores Financial Intelligence regarding our services and supersede all prior agreements and understandings.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
